Terms and Conditions

1.Introduction and acceptance

These Terms and Conditions ("Terms") govern access to and use of the Jozi Markets website and mobile platform (the "Platform"), operated by Jozi Markets, registration number [REG NUMBER], with its registered address at [REGISTERED ADDRESS] ("Jozi Markets", "we", "us", "our").

By creating an account, placing an order, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree to them, please do not use the Platform. We may update these Terms from time to time as set out in clause 19 below.

2.Definitions

• "Business Buyer" means a registered user purchasing Products for resale or business use, rather than personal consumption.
• "Products" means the wholesale goods listed for sale on the Platform.
• "Order" means a request to purchase Products submitted and accepted in accordance with clause 6.
• "Corridor Route" means the delivery route(s) Jozi Markets operates, currently including the Johannesburg–East London corridor.
• "Subscription" means the recurring Jozi Markets membership described in clause 9.
• "POPIA" means the Protection of Personal Information Act 4 of 2013.
• "Business Day" means any day other than a Saturday, Sunday, or South African public holiday, unless the context requires otherwise (for example, deliveries which specifically occur over weekends).

3.Eligibility and business accounts

The Platform is intended for wholesale and business purchasing. By registering, you confirm that you are at least 18 years old, have the legal authority to bind the business you represent (if applicable), and that all information you provide is accurate and current.

We may request supporting documentation (such as proof of business registration) to verify a Business Buyer account, and may decline or suspend registration where this cannot be verified.

4.Account registration and security

You are responsible for maintaining the confidentiality of your account login details and for all activity that occurs under your account. Notify us immediately at [SUPPORT EMAIL] if you suspect unauthorised use of your account.

5.Products, descriptions and pricing

We take reasonable care to ensure Product descriptions, images, and pricing displayed on the Platform are accurate, but Products are subject to availability and prices may change without notice prior to an Order being accepted. Prices are quoted in South African Rand and, unless stated otherwise, exclude VAT and delivery fees, which are shown separately at checkout.

Minimum order quantities apply per Product variant, as displayed on the Product page at the time of ordering.

6.Orders and order acceptance

Placing an Order through the Platform is an offer to purchase, which we may accept or decline at our discretion — for example where a Product is out of stock, priced in error, or where payment cannot be verified. A contract of sale is only formed once we confirm acceptance of your Order.

7.Payment terms

We currently accept payment by card and instant payment methods processed through our payment partner, Yoco, and by direct EFT bank deposit. Card details are captured and processed directly by Yoco's secure hosted payment page — we do not store your full card details on our servers.

For EFT payments, your Order is confirmed and dispatched only once we have verified receipt of your deposit against the payment reference provided. Please allow for standard interbank clearing times, particularly around weekends and public holidays.

8.Delivery

Jozi Markets currently delivers along defined Corridor Routes on a weekend delivery cycle. Delivery days, cut-off times for placing an Order to make a given weekend's run, and delivery fees are shown at checkout and may vary by delivery zone along the route.

Delivery timeframes are estimates only. While we aim to deliver within the stated window, delivery may be affected by factors outside our reasonable control, including weather, road conditions, and vehicle availability — see clause 17 (Force Majeure).

You are responsible for ensuring someone authorised to receive the Order is available at the delivery address on the scheduled delivery day. Failed deliveries due to an unavailable recipient may incur a re-delivery fee.

9.Jozi Markets Subscription

The Subscription is an optional, recurring paid membership that provides reduced or waived delivery fees on qualifying Orders, as described on the Subscription page at the time of signup. The Subscription fee is billed on a recurring basis until cancelled.

You may cancel your Subscription at any time from your account; the cancellation takes effect at the end of the current billing period, and no partial refund is given for the remainder of a paid period unless required by law. Delivery discounts apply only to Orders placed while your Subscription is active and in good standing — if a Subscription payment fails, discounted pricing may be suspended until payment is resolved.

10.Cancellations, returns and refunds

Given the wholesale nature of Products, please check quantities and variants carefully before confirming an Order. Nothing in this clause limits any right you may have under the Consumer Protection Act 68 of 2008, to the extent it applies to your purchase.

11.Risk and ownership

Risk in the Products passes to you on delivery to the address provided at checkout. Ownership passes once we have received full payment for the relevant Order.

12.Acceptable use

You agree not to use the Platform for any unlawful purpose, to misrepresent your identity or business, to interfere with the Platform's operation or security, or to reproduce, resell, or scrape Platform content without our written consent.

13.Intellectual property

All content on the Platform, including the Jozi Markets name, logo, design, and software, is owned by or licensed to us and may not be used without our prior written permission.

14.Privacy and protection of personal information

We process personal information in accordance with POPIA. This clause summarises how — for full detail, see our separate Privacy Policy at [LINK TO PRIVACY POLICY].

What we collect and why. We collect information such as your name, contact details, business details, delivery address, Order history, and payment reference information, in order to: create and manage your account; process, deliver, and support your Orders; manage Subscription billing; plan delivery routes and capacity; comply with legal and tax obligations; and, where you've consented, send you marketing communications.

Our legal basis for processing. We process your information because it is necessary to perform our contract with you (fulfilling Orders and Subscriptions), to comply with legal obligations, for our legitimate business interests (such as fraud prevention and route planning), or because you have consented (such as for marketing).

Direct marketing. We will only send you direct marketing communications with your consent, or where you are an existing customer and the marketing relates to similar Products. You may object to receiving marketing at any time, free of charge, by using the unsubscribe link in any marketing message or by emailing [SUPPORT EMAIL].

Sharing your information. We share information with service providers who help us operate the Platform — including our payment processor (Yoco), delivery/courier partners, and IT hosting providers — only to the extent necessary for them to provide their service to us, and under appropriate confidentiality and security obligations. We do not sell your personal information.

Retention. We retain personal information for as long as necessary to fulfil the purposes described above, or as required by law (including tax and financial record-keeping requirements).

Your rights. Subject to POPIA, you have the right to: request access to the personal information we hold about you; request correction or deletion of your information; object to our processing of your information, including for direct marketing; and withdraw consent where processing is based on consent. Complaints. If you believe we have not handled your personal information in accordance with POPIA, you may lodge a complaint with us directly, or with the Information Regulator at inforegulator.org.za or by email to POPIAComplaints@inforegulator.org.za.

15.Limitation of liability

To the maximum extent permitted by law, Jozi Markets shall not be liable for any indirect, incidental, or consequential loss arising from your use of the Platform or the Products, including loss of profit or business interruption. Nothing in these Terms limits any liability that cannot lawfully be excluded or limited, including liability for gross negligence or wilful misconduct.

16.Indemnity

You agree to indemnify Jozi Markets against any claims, losses, or damages arising from your breach of these Terms or misuse of the Platform.

17.Force majeure

Neither party is liable for delay or failure to perform any obligation under these Terms where the delay or failure results from circumstances beyond that party's reasonable control, including road closures, extreme weather, load shedding, or civil disruption affecting the Corridor Route.

18.Suspension and termination

We may suspend or terminate your account where we reasonably believe you have breached these Terms, engaged in fraudulent activity, or where required to comply with law.

19.Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via the Platform or by email before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

20.Governing law and jurisdiction

These Terms are governed by the laws of the Republic of South Africa, and the parties submit to the non-exclusive jurisdiction of the South African courts.
